Clinical Contracts Manager at Science Exchange

Everyday we’re helping to facilitate scientific collaborations between researchers at pharma, biotechs, universities, government facilities and CRU/CRO’s both in the U.S. and around the globe. These collaborations require several legal frameworks to be established between Science Exchange, our customers and CRU/CRO’s. We’re look for an experienced Clinical Contracts Manager to manage the entire contracting process from cradle to grave and be our subject matter expert in the clinical space.

You will be the go to person for contractual/compliance matters and have the opportunity to grow and structure many of our legal processes and policies. The contracts you will manage will be complex, interesting, and important. Additionally, you will be large contributor to Science Exchange’s success.

The ideal candidate will be well-versed in contract creation, contract negotiation, and the legal/compliance side of the clinical industry. This position will report directly to the Director of Contracts and Compliance.


Develop, negotiate, and execute contracts including: Clinical Trial Agreements, Statement of Work, Indemnity Agreements, Non-Disclosure Agreements, Material Transfer Agreements, Master Service Agreements, Sponsored Research Agreements, Fee-For Service Agreements and Intellectual Property agreements
Work closely with customer clinical teams and manage service providers at CRO’s and clinical sites to ensure timely completion of clinical trials and those projects involving the use of clinical samples
Review and revise 3rd party contracts, identify contractual risks and recommend solutions according to best practices
Keep forms updated in accordance with best practices
Develop and manage outgoing communication regarding Science Exchange’s legal process
Build and maintain relationships with CRO/CRU and legal groups at biotech/pharma companies
Be the go-to person for users on clinical matters
Work alongside our external legal counsel to advise the company on other legal matters (e.g. Terms of Service, Privacy Policy, Intellectual Property & Indemnification provisions)Understand business practices in the life science industry
Knowledge of different contract types (e.g. CR. FP, and T&M)Understanding of export/import regulations


5+ years experience as a Clinical Contracts Administrator/Specialist in a CRO/CRU setting
Thorough understanding of HIPAA and its global equivalents
Knowledge of the CRU landscape
In depth knowledge of ICH/GCP and all applicable laws and/or guidelines in the clinical space
Understanding of budget creation/management with respect to clinical trials
Provide operational expertise in clinical trial management
Strong listening skills; able to both listen to and interpret the legal needs of researchers, labs, and companies
Organized; able to manage multiple agreements at the same time
Mediator; able to bring multiple parties together to form an agreement
Strategic; have a proven record of thoughtful and informed decision making
Passion for innovation - excited about the potential to disrupt the world of science
BS/BA in business, law, supply chain, or science discipline
Preferred: Understanding of compliance/privacy regulations, such as: GLP, GMP, GDPR
Preferred: Experience negotiating other types of contracts (e.g. marketing, finance, HR & IT)
Preferred: Experience working at a startup
